These Terms govern your access to and use of the Lumo Tech website and services. Please read them carefully before using our site or contacting us.

1. Who We Are

Lumo Tech is a digital studio providing modern web development, digital marketing, branding, AI solutions, and support & care services.

2. Use of Our Website

You agree to use our website only for lawful purposes.

You must not:

  • Use the website in any way that could damage, disable, or impair its functioning
  • Attempt to gain unauthorized access to any part of the website, servers, or connected systems
  • Use automated tools (bots, scrapers) to access or extract content without our written permission
  • Submit false, misleading, or fraudulent information through our contact or consultation forms

We reserve the right to restrict or terminate your access to the website at our discretion, without notice, if we believe these Terms have been violated.

3. Consultations & Project Inquiries

Submitting a consultation request or contact form does not create a binding contract between you and Lumo Tech.

A formal engagement begins only once both parties agree on a written proposal, quote, or Statement of Work ("SOW"), and any required deposit has been received. Free consultations are offered at our discretion and do not obligate either party to proceed with paid work.

4. Services & Project Scope

Scope of Work

Each project will be governed by an individual proposal, quote, or SOW outlining deliverables, timeline, and pricing. These Terms apply in addition to, and alongside, any project-specific agreement. In case of conflict, the specific project agreement takes precedence.

Client Responsibilities

  • Provide timely feedback, content, assets, and approvals
  • Ensure any materials provided are either owned by the client or properly licensed for use
  • Respond to requests for information within a reasonable time

Revisions

Each project includes a reasonable number of revision rounds as agreed in the project proposal. Additional revisions beyond the agreed scope may incur extra charges.

Timelines

Timelines are estimates based on the information available at the time of quoting. Delays caused by late feedback, content, or approvals from the client may extend the delivery date and are not the responsibility of Lumo Tech.

5. Payments

  • Payment terms will be specified in the individual project proposal or invoice.
  • Projects generally require an upfront deposit before work begins, with the balance due upon completion or per agreed milestones.
  • Late payments may result in a pause of work until outstanding amounts are settled.
  • All fees are non-refundable once work has commenced, except where required by law or explicitly agreed in writing.
  • Prices do not include third-party costs unless explicitly stated.

6. Intellectual Property

Client-Owned Materials

Any content, trademarks, logos, or materials you provide remain your property. You confirm you have the necessary rights to use and share this material with us.

Deliverables

Upon full and final payment, ownership of the final deliverables transfers to the client, unless otherwise agreed in writing.

Our Retained Rights

  • Use general knowledge, skills, and techniques developed during a project in future work
  • Showcase completed projects in our portfolio, unless confidentiality is requested
  • Retain ownership of proprietary tools, frameworks, or pre-existing code libraries used in the work

Third-Party Assets

Some projects may use third-party tools, packages, stock imagery, fonts, or APIs. These remain subject to their own licenses and terms, and Lumo Tech is not responsible for changes, outages, pricing changes, or discontinuation by those third parties.

7. AI Solutions & Automations

We offer AI-powered tools, automations, and integrations as part of our services. These offerings are scoped and agreed upon in the individual project proposal or SOW.

  • AI-generated outputs may occasionally be inaccurate, incomplete, or require human review.
  • Third-party AI provider terms also apply when integrations are used.
  • Performance depends on the quality of data and inputs provided by the client.
  • Use of AI tools is at your discretion, and periodic review is recommended.

8. Support & Care

Ongoing support and maintenance services cover routine updates, monitoring, and minor fixes as defined in your support plan. They do not include major redesigns, new feature development, or issues caused by third-party changes unless separately agreed.

9. Website Security & Data

We take reasonable, industry-standard measures to protect our website and client data, including SSL/HTTPS encryption, regular software updates, and secure hosting practices.

No method of transmission or storage is 100% secure. Please refer to our Privacy Policy for details on how we collect, use, and protect personal data.

10. Disclaimer of Warranties

Our website and services are provided on an "as is" and "as available" basis. While we strive for quality, Lumo Tech makes no warranties or guarantees, express or implied.

  • No guarantee of uninterrupted or error-free operation.
  • No guarantee of specific business outcomes, rankings, traffic, sales, or marketing results.
  • No guarantee of compatibility with all third-party platforms, browsers, or devices beyond the project scope.

11. Limitation of Liability

To the fullest extent permitted by law, Lumo Tech is not liable for indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services.

Our total liability for any claim shall not exceed the total fees paid by the client for that specific project in the three months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Lumo Tech, its founders, and team members from any claims, damages, losses, or expenses arising from:

  • Your breach of these Terms
  • Content or materials you provide that infringe on third-party rights
  • Your misuse of any deliverable we provide

13. Termination

Either party may terminate a project agreement with written notice, subject to the terms of the specific project proposal or SOW.

  • The client is responsible for payment for work completed up to the termination date.
  • Deposits for work not yet started may be refunded at our discretion, minus costs already incurred.
  • We may withhold final deliverables until outstanding payments are settled.

14. Third-Party Links & Tools

Our website and deliverables may reference or integrate third-party tools and platforms. We are not responsible for the content, policies, availability, or practices of those third parties.

15. Changes to These Terms

We may update these Terms from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of Nepal, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of courts in Nepal.
